The answer
Checked October 21, 2026: Spruce Power Holding Corporation (NYSE: SPRU) owns, or holds rights to, home solar systems and the customer contracts on them, mostly leases and PPAs, and services them from Houston. It reported about 84,000 home solar assets and contracts at December 31, 2025 and about 83,000 at June 30, 2026.[1][2] Its auditor and its latest 10-Q flag substantial doubt about its ability to continue as a going concern.[1][2] Support: 888-636-0336.[4]
Spruce contracts are mostly leases and PPAs, which our partner does not take today. If you also have a solar loan (any lender except Tesla) or a Sunnova PPA, our partner Solar Exit Group may be able to help. No cost to submit. Paid partner; it does not change our ratings.
Who is Spruce Power?
Spruce Power says it owns and maintains home solar systems and earns revenue mainly from leases of, and sales of electricity from, those systems under long-term Customer Agreements that require monthly payments. Its Spruce Pro platform is contracted to service more than 60,000 systems owned by third parties.[1]
How your contract may have ended up with Spruce. The company was XL Fleet Corp. It bought Legacy Spruce Power on September 9, 2022 and renamed itself Spruce Power Holding Corporation in November 2022. It then bought SS Holdings 2017, LLC in early 2023, with use rights to about 22,500 customer contracts; about 2,400 systems from a regulated utility in August 2023; and about 9,800 systems from a publicly traded energy services company in late 2024.[1] The Connecticut Attorney General says Spruce also acquired a portfolio of solar contracts from NRG Energy.[8] Spruce's FAQ says Spruce Power owns your system and that entities under the Spruce umbrella service it.[5]
Spruce Power's financial status: the going-concern warning
In its 2025 10-K, Spruce says its auditor's report includes an explanatory paragraph on going concern, because the maturity date of its SP1 Facility with Silicon Valley Bank fell within 12 months, it had no refinancing commitment, and it expected not to have enough cash to repay the facility at maturity.[1] Its 10-Q for the quarter ended June 30, 2026 repeats the conclusion: the amended SP1 maturity date is October 30, 2026 (January 30, 2027 if a signed long-term term sheet is obtained), the SP2 Facility matures May 14, 2027, and negative working capital was $175.0 million.[2] Spruce says it has engaged a financial advisor and is talking to potential lenders.[2]
What this means for you, as far as the filings show. A going-concern warning is not a bankruptcy, and we found no bankruptcy filing in its SEC filings as of October 21, 2026. Spruce lists these facilities as non-recourse debt (SP1 balance $169.4 million at June 30, 2026), and the 10-Q says a failed refinancing could result in a foreclosure of collateral.[2] The filings do not say what would happen to customer agreements. Your agreement generally stays in force while the company refinances, so keep paying and keep copies of your contract and statements. Separately, Spruce expected to change its state of incorporation from Delaware to Texas on or about October 20, 2026, with no change to its business or headquarters.[3]

Selling a house with a Spruce Power lease
Spruce lists three options when you sell during the lease:[6]
- Assignment of lease. The buyer takes over the lease as-is and keeps paying on the same terms.
- System purchase. You buy out the system, it is sold with the house, and no further lease payments are due.
- Prepayment. You prepay the remaining payments; Spruce still owns the equipment.
Timing. Spruce requires 30 days notice before the sale. You start with the home sale form on its Life Events page and a case manager contacts you in 1 to 2 business days. Spruce says a lease assignment can be completed within 8 to 12 business days, and buyout escrow purchase instructions within 7 to 10 business days after you confirm the quote.[6]
If the buyer will not take the lease, Spruce says you cannot cancel or remove the equipment, but you can purchase the system.[6] More on closings: transferring a solar lease to a new owner and selling a home with solar.
Spruce Power fees for buyouts, sales and refinances
From Spruce's service charge schedule, effective March 1, 2026:[7]
| Service | Charge |
|---|---|
| Home sale processing (Home Filing Service Charge), or prepayment as part of a home sale | $400 |
| Rush home filing: 5 to 7 days / 2 to 4 days / next day | $500 / $1,250 / $1,750 |
| System buyout service charge, without filing / with filing | $300 / $400 |
| Refinance or HELOC request (plus $75 if a FNMA addendum is needed) | $350 |
| Lender subordination of the UCC filing | $75 |
| FNMA addendum | $100 |
| Late fee (may be less in some states) | $25 |
| Disconnection for a delinquent balance / reconnection visit | $100 / $375 |
| Legal review on balances over 180 days | $200 plus 5% of the balance at payoff |
Spruce's Life Events FAQ lists the Fannie Mae addendum at $75, while the March 2026 schedule lists $100; ask which applies.[6][7] Spruce says it does not decide whether the buyer or the seller pays a service charge.[6]
Buying the system without selling. Spruce says a buyout quote is generally ready 2 to 4 business days after you submit the request, and you can ask for a new quote if it expires.[6]
UCC filing. Spruce says its UCC-1 fixture filing is not a lien on your home but a public record that the system belongs to the solar provider. For a refinance it can temporarily terminate and re-file the filing; it recommends contacting it at least 3 weeks before closing.[5][6] Our UCC filing guide explains how these filings work.
Spruce Power complaints: Connecticut AG, BBB and CFPB
Connecticut settlement. On March 17, 2026 the Connecticut Attorney General announced a $100,000 settlement resolving an investigation into Spruce Power 3, LLC, which it describes as a solar servicing company. The AG says the investigation was triggered by complaints about billing, customer service, warranty issues and other concerns that peaked between 2021 and 2023, after Spruce acquired a portfolio from NRG Energy. The AG says the settlement also commits the company to refund improper charges and to reforms on complaint response and billing. The AG filed the stipulated judgment in Hartford Superior Court on March 12, 2026 and said it would seek court approval.[8] We have not confirmed court approval.
BBB. On October 21, 2026, BBB's profile for Spruce Finance Inc, which lists Spruce Power and Clean Power Finance as alternate names at the Gessner Road address, showed the business as not accredited and Not Rated, citing unresolved complaints. It listed 393 complaints in the last 3 years and 165 in the last 12 months, and it reports the Connecticut action under Government Actions.[9][10] Complaints are consumers' accounts, not findings.
CFPB. The CFPB database lists 52 complaints under "Kilowatt Financial, LLC, a Spruce Finance company", received from March 2017 to April 2026. The most common issues were attempts to collect debt not owed and problems when making payments; the company responded on time to 43 of 52.[11]
Your options with Spruce Power
- Selling: assignment, buyout or prepayment, with 30 days notice.[6]
- Staying: request a buyout quote if owning the system makes sense for you; it ends the lease payments.[6]
- Billing errors: dispute in writing with HOST, keep records, and keep paying.[4]
- Escalate to your state attorney general or the BBB, and to the CFPB for a loan.[12]
We do not advise homeowners to stop making payments or breach contractual obligations. Missed payments can trigger late fees and other penalties under your agreement; a dispute is raised in writing while you keep paying.

Can I buy out my Spruce Power system without selling?
Yes. Spruce says you can request a buyout quote through its Life Events page, and the quote is generally ready in 2 to 4 business days. Its fee schedule lists a $300 or $400 system buyout service charge.
Is Spruce Power going bankrupt?
We found no bankruptcy filing as of October 21, 2026. Spruce's 10-K and its June 30, 2026 10-Q say there is substantial doubt about its ability to continue as a going concern because debt facilities mature within 12 months and are not yet refinanced. That is a warning, not a bankruptcy.
Does the Spruce Power UCC filing put a lien on my home?
Spruce says no. It says its UCC-1 fixture filing is a public record that the solar system belongs to the solar provider, not a lien on your home. The filing still shows on title, so tell your title company early.
